Sustainable IPO

Current and upcoming regulatory frameworks, existing sustainable finance tools, best practices related to ESG implementation policies, corporate sustainability reporting standards, and market trends define the core elements of “E” (ENVIRONMENTAL), “S” (SOCIAL), and “G” (GOVERNANCE) in a Sustainable IPO. This is based on principles of good governance, informational transparency, and use of proceeds also from an ESG perspective.

An IPO can be defined as "Sustainable" when the company has good governance in terms of board composition, can manage and prevent ESG risks, and pursues long-term Sustainable Development (or common benefit in the case of Benefit Corporations) through use of proceeds aimed at achieving or promoting sustainability objectives, ensuring transparency of ESG factors through comparable and measurable sustainability reporting.

Private Debt

Debt instruments issued through non-bank channels by institutional investors. Main solutions for SMEs include: Direct Lending (medium to long-term loans provided to SMEs by non-bank institutional entities); Minibonds (medium to long-term bonds with amounts under 50 million euros).

ESG Linked: Financing and Minibonds

ESG Linked financing and minibonds are medium to long-term financing products whose conditions are tied to projects aimed at achieving “green” objectives or “social” initiatives.

The company can obtain favorable economic conditions if it follows a virtuous path in terms of sustainability, with goals agreed upon with investors or the banking institution, defined at the time of subscription, and periodically verified.

Through a reward system, the spread applied to the interest rate may vary during the contract period based on the performance of the scoring.

Private Placement

Private Placement is a method of raising "private" capital through equity by opening the “capital” to third-party investors, both institutional and private (industrial or financial).

Private Placement offers strong control over the entire capital-raising process: it ensures greater flexibility regarding the amount and modalities and allows companies to choose their investors. Additionally, pre-agreed terms with investors can make the execution of the operation faster. Although it does not involve public placement, the operation requires thorough due diligence and careful risk assessment conducted by potential investors.

In defining the operation, the company is supported by a financial advisor specialized in corporate finance operations who assists in evaluating the memorandum (containing information about the issuer's financial situation and investment risks, useful to investors) and the investment contract, as well as in the due diligence phase. Investors participating in the private placement may include private equity funds, family offices, ELTIF funds, or, in the early stages of the company’s development, venture capitalists or angel investors.
